Welcome to nuclivision.co. These Terms of Use ("Terms") constitute a legally binding agreement between you ("you" or "user") and NucliVision Inc. ("NucliVision", "we", "us", "our"), a Delaware corporation headquartered in Boston, Massachusetts. These Terms govern your access to and use of the NucliVision website located at nuclivision.co and any subdomains thereof (collectively, the "Site").

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately discontinue use of the Site.

These Terms apply to all visitors, registered users, healthcare professionals, institutional representatives, investors, journalists, and anyone else who accesses or uses the Site.

Nuclear medicine imaging is a specialized medical discipline. Decisions regarding patient imaging, scan interpretation, dosimetry, treatment planning, and clinical management must be made exclusively by qualified, licensed healthcare professionals with appropriate training and access to the full clinical context of each patient case.

NucliVision's AI software products, including image enhancement, dosimetry calculation, and reporting assistance tools, are intended for use by trained nuclear medicine physicians, nuclear medicine technologists, medical physicists, and other qualified clinical personnel. These products are medical devices and must be used in accordance with their intended use, indications for use, contraindications, and instructions for use as specified in the applicable product documentation.

5. Intellectual Property Rights

5.1 NucliVision's Proprietary Rights

The Site and its entire contents, features, and functionality — including but not limited to all text, graphics, photographs, illustrations, videos, logos, icons, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof — are owned by NucliVision, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The NucliVision name, the NucliVision logo, and all related names, logos, product and service names, designs, and slogans are trademarks of NucliVision Inc. or its affiliates. You must not use such marks without the prior written permission of NucliVision. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial, informational use, provided you do not modify the materials and you retain all copyright, trademark, and other proprietary notices. You may not:

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NUCLIVISION INC., ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF NUCLIVISION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT NOT PROHIBITED BY LAW, NUCLIVISION'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

10. Termination

NucliVision reserves the right to terminate or suspend your access to the Site at any time, without prior notice or liability, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Site will immediately cease.

Provisions of these Terms that by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.


11. Dispute Resolution and Arbitration

11.1 Informal Resolution

Before filing a formal claim, you agree to first contact NucliVision at [email protected] and attempt to resolve the dispute informally. NucliVision will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days, either party may proceed to formal dispute resolution.

11.2 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Boston, Massachusetts, unless the parties mutually agree to an alternative location or to conduct the arbitration by remote means. The arbitrator's award shall be final and binding on the parties.

11.3 Class Action Waiver

YOU AND NUCLIVISION AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and NucliVision agree otherwise, no arbitrator may consolidate more than one person's claims or may otherwise preside over any form of a representative or class proceeding.

11.4 Exceptions

Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to preserve the status quo pending arbitration, or to protect intellectual property rights. Nothing in this section prevents NucliVision from seeking injunctive relief to prevent irreparable harm in connection with unauthorized use of our intellectual property.


12. Governing Law and Jurisdiction

These Terms and any dispute arising hereunder are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions. For any disputes not subject to arbitration under Section 11, you consent to the exclusive jurisdiction of the state and federal courts located in Suffolk County, Massachusetts.

If you are accessing the Site from outside the United States, you are responsible for compliance with local laws. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Site or these Terms must be filed within one year after such claim or cause of action arose or be forever barred.


13. Severability and Waiver

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

NucliVision's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any default shall not be a waiver of any subsequent default.


14. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and NucliVision with respect to the Site and supersede all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, between you and NucliVision.

For healthcare institutions and partners who have entered into separate agreements with NucliVision (including evaluation agreements, pilot agreements, or commercial contracts), those agreements govern to the extent they conflict with these Terms.
